These Terms of Service ("Terms") govern your access to and use of the LOADFlow PRO Chrome extension, the loadflow.app website, and any related services (collectively, the "Service") provided by LOADFlow Inc, a Pennsylvania corporation ("LOADFlow," "we," "us," or "our").

By installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not install or use the Service.

Please also read our Privacy Policy, which is incorporated into these Terms by reference.

1. About the Service

LOADFlow PRO is a Chrome extension that augments the Amazon Relay carrier UI at relay.amazon.com. It captures invoice, dispute, and Trips History data already loaded in your browser, organizes it locally, and helps you assemble weekly driver statements that can be exported to Microsoft Excel.

LOADFlow PRO is an independent third-party tool. It is not affiliated with, endorsed by, sponsored by, or otherwise connected to Amazon.com, Inc. or its affiliates.

2. Eligibility

To use the Service, you must be at least 18 years old, be authorized to act on behalf of an Amazon Relay carrier company, have the legal capacity to enter into a binding contract, and comply with these Terms, our Privacy Policy, and all applicable laws.

3. Your account

The Service identifies your carrier company automatically by reading information already present on Amazon Relay pages you visit. You do not create a separate username or password to use the Service. You are responsible for all activity that occurs under your carrier identity in the Service.

4. Free trial

New carriers may activate a 21-day free trial of the Service in one click from inside the LOADFlow PRO extension. The trial provides full access to current paid features.

No credit card or payment instrument is required to start the free trial. When the trial period ends, the Service will not automatically charge you. Excel statement export will be disabled until you choose to subscribe; data already captured remains accessible through the extension.

One trial per carrier company. We may, in our sole discretion, extend, modify, or decline to offer trials at any time.

5. Subscription, billing, and refunds

Pricing

The Service is offered as a monthly subscription at $10.00 per carrier company per month (USD), billed in advance.

Taxes

The Service is offered at a flat price of $10.00 per carrier company per month (USD). This price is inclusive of any applicable sales tax, VAT, or similar transaction taxes that LOADFlow Inc is required to collect and remit. You will not be charged additional tax on top of the listed subscription price.

Payment

All payments are processed by Stripe, our third-party payment processor. By subscribing, you authorize Stripe to charge your payment instrument according to your selected billing terms.

Auto-renewal

Your subscription will automatically renew at the end of each billing period for another period of the same length, at the then-current price, unless you cancel before the renewal date.

Cancellation

You may cancel your subscription at any time through the Stripe Billing Portal, accessible from the Settings tab inside the LOADFlow PRO extension. Cancellation takes effect at the end of your current billing period.

No refunds

All payments are non-refundable. We do not offer refunds, prorated credits, or partial refunds for unused time, downgrades, cancellations, or any other reason, except where required by applicable law.

Failed payments

If a payment fails, we may suspend access to paid features (including Excel export) until payment is successfully completed. If payment cannot be collected after a reasonable period, we may terminate your subscription.

6. License to use the Service

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the LOADFlow PRO extension on browsers you control, solely for your internal business operations as an Amazon Relay carrier.

Our collection, use, and protection of your information is described in our Privacy Policy. By using the Service, you consent to the practices described there.

You retain ownership of all data captured by the extension. Most data captured by the extension is stored locally in your browser. When you click "Get Excel," an assembled statement payload is transmitted to our backend for rendering the Excel file. We may retain assembled statement payloads and other operational data on our backend to support service operation, troubleshooting, analytics, and the development of future features.

The Service is owned by LOADFlow Inc and is protected by United States and international copyright, trademark, and other intellectual property laws. "LOADFlow," "LOADFlow PRO," and our logo are trademarks of LOADFlow Inc.

You retain ownership of your data. You grant LOADFlow Inc a limited, non-exclusive, royalty-free license to access, use, copy, transmit, and process your data solely as necessary to provide the Service.

11. Service availability

We provide the Service on a best-effort basis. We do not currently offer a service-level agreement (SLA) or uptime guarantee. We may modify, suspend, or discontinue any part of the Service at any time.

You may stop using the Service at any time by uninstalling the extension and (if subscribed) canceling your subscription via the Settings tab. Cancellation stops future billing; no past charges are refunded.

We may suspend or terminate your access immediately if you materially breach these Terms, violate the restrictions in Section 7, fail to pay, or pose a legal/security/operational risk.

13. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind.

To the maximum extent permitted by law, LOADFlow Inc disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy of data, and continuous availability.

You are responsible for verifying any data produced by the Service before using it for payroll, tax filing, regulatory reporting, or any other purpose where accuracy matters.

14. Limitation of liability

To the maximum extent permitted by applicable law, LOADFlow Inc will not be liable for any indirect, incidental, special, consequential, or punitive damages. LOADFlow Inc's total cumulative liability will not exceed the greater of (a) the amount you paid LOADFlow Inc in the 12 months immediately preceding the claim, or (b) $100.00.

15. Indemnification

You agree to defend, indemnify, and hold harmless LOADFlow Inc from any claims arising out of your use of the Service, your violation of these Terms, your violation of any third-party rights (including Amazon's), or your violation of applicable law.

16. Governing law and venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict-of-laws principles. Any legal action arising out of these Terms must be brought exclusively in the state or federal courts located in Pennsylvania.

17. Changes to these Terms

We may update these Terms from time to time. Material changes take effect no earlier than 30 days after notice is given via loadflow.app, email, or in-product notification. Continued use after the effective date constitutes acceptance.

18. General

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and LOADFlow Inc.

Severability. If any provision is held invalid, the remaining provisions will continue in full force.

No waiver. Our failure to enforce any right is not a waiver of that right.

Assignment. You may not assign these Terms without our prior written consent. We may assign without restriction.
